Legal Entity & Ownership

Nexcord is currently owned and operated by its founder (Aoun Abu Hassan) as an individual and is not currently operated through a registered company. Payments are processed by Paddle acting as merchant of record under an individual account.

A future transfer of ownership to Reflex Sphere Studios LTD (a company registered in England and Wales) is planned after the beta period. If this transition occurs, users will be notified in advance and these terms will be updated to reflect the new legal entity. Continued use of the Service after notification constitutes acceptance of the updated terms.

Agreement

By accessing or using Nexcord ("the Service") at nexcord.app, you agree to these Terms of Service. If you do not agree, do not use the Service.

The Service

Nexcord provides Discord community management tools including transcript generation, automated archiving, AI summarization, and a web dashboard. The Service is currently owned and operated by its founder (Aoun Abu Hassan) as an individual and is not currently operated through a registered company.

Eligibility

You must be at least 13 years old (or the minimum age in your jurisdiction) and have a valid Discord account to use Nexcord. By using the Service, you represent that you meet these requirements.

AI Features and Disclaimer

Some features of Nexcord utilize AI technologies to provide functionalities such as summarization and content analysis. These AI features are designed to assist users but may not always produce accurate or appropriate results. By using these features, you acknowledge that AI-generated content is for informational purposes only and should not be solely relied upon for critical decisions. We disclaim all liability for any outcomes resulting from the use of AI features.

AI Usage Limits

AI Usage Limits To ensure fair and reliable access to AI-powered features, Nexcord enforces usage limits that may apply per user, server, or subscription tier. These limits may include request quotas, rate limits, or other technical restrictions. We reserve the right to modify, enforce, or reset these limits at any time, with or without prior notice. Exceeding usage limits may result in temporary or permanent restriction of access to AI features. We are not liable for any loss of functionality, delays, or outcomes resulting from the enforcement of such limits.

AI Abuse and Misuse

You agree not to use Nexcord’s AI features for any unlawful, harmful, or abusive purposes. This includes, but is not limited to, generating misleading content, engaging in spam, harassment, fraud, or attempting to exploit or manipulate the system. We reserve the right to monitor usage patterns and to suspend or terminate access to AI features or the Service if misuse is detected, without prior notice. You are solely responsible for any content generated through your use of AI features and for ensuring that such use complies with applicable laws and platform policies, including Discord’s Terms of Service.

AI Output Accuracy and Limitations

AI-generated outputs may not accurately reflect the original content of messages, may omit important context, or may introduce information that was not present in the source material. While Nexcord aims to provide useful summaries and insights, we do not guarantee the accuracy, completeness, or reliability of AI-generated outputs. Users are responsible for reviewing original source content and verifying any AI-generated information before relying on it for decision-making.

Acceptable Use

You agree not to:

  • Use the Service to store or distribute illegal content
  • Archive messages from servers where you do not have permission to do so
  • Attempt to reverse engineer, hack, or disrupt the Service
  • Create accounts for the purpose of abuse or spam
  • Violate Discord's Terms of Service while using Nexcord
  • Resell or sublicense access to the Service without permission

Your Content

You retain ownership of the messages and content stored in your transcripts. By using Nexcord, you grant us a limited license to store, process, and display this content solely to provide the Service to you. You are responsible for ensuring you have the right to transcript channels and messages.

Subscriptions and Billing

Pro plan subscriptions are billed through Paddle, acting as merchant of record under an individual account. By subscribing, you agree to Paddle's terms of service in addition to these terms.

Subscriptions auto-renew until cancelled. You may cancel at any time through your dashboard. Cancellation takes effect at the end of the current billing period — no prorated refunds are issued for partial periods.

The 14-day free trial is available once per server. Attempting to circumvent this limit may result in account suspension.

We reserve the right to change pricing with reasonable notice to active subscribers.

Service Availability

We aim for high availability but do not guarantee uninterrupted service. We are not liable for losses resulting from service downtime, data loss, or technical failures. We may modify or discontinue features with reasonable notice.

The Service is provided "as is" and "as available" without warranties of any kind.

Termination

We may suspend or terminate accounts that violate these terms. You may delete your account at any time by contacting us. Upon termination, your data will be deleted within 30 days unless legal obligations require longer retention.

Limitation of Liability

To the maximum extent permitted by law, Nexcord and its owner are not liable for indirect, incidental, or consequential damages arising from your use of the Service.

Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

Governing Law

These terms are governed by applicable international laws. Where applicable, disputes may be resolved under the laws of England and Wales, without prejudice to mandatory consumer protection laws in your jurisdiction. This applies regardless of the current ownership structure of Nexcord.

Changes

We may update these terms from time to time. Material changes — including any transfer of ownership to a registered entity — will be communicated with at least 14 days' notice via email or dashboard notification. Continued use after the notice period constitutes acceptance.
